1. Introduction and Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Horizon Trial and Treatment Notifier (“Horizon,” “we,” “us,” or “our”), a platform operated in Canada. By accessing, registering for, or using the Horizon platform (the “Platform”), including our website, applications, and related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not access or use the Platform.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.


2. Description of Services

Horizon is a clinical trial matching platform that connects patients and caregivers seeking clinical trials with Contract Research Organizations (CROs) seeking qualified participants, facilitated through physician engagement. The Platform provides:

  • For Patients and Caregivers: Health profile creation, AI-powered clinical trial matching, expression of interest in matched trials, management of contact requests from CROs, and notification services.

  • For Physicians: Clinical trial search and discovery tools, patient referral capabilities, saved trial management, and subscription-based access to advanced features.

  • For Contract Research Organizations (CROs): Trial listing management, access to anonymized matched candidate profiles, contact request tools, candidate pipeline management, and billing services.

  • For All Users: Account management, notification preferences, and consent management tools.

Horizon does not provide medical advice, diagnoses, or treatment recommendations. The Platform is an informational and matching tool only.


3. Eligibility

To use the Platform, you must:

(a) Be at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater;

(b) Have the legal capacity to enter into a binding agreement;

(c) Provide accurate and complete registration information;

(d) Not be prohibited from using the Services under applicable Canadian laws.

If you are registering as a Caregiver, you represent that you have the legal authority to act on behalf of the patient for whom you are creating a profile and have obtained their informed consent. Caregiver-specific obligations are set out in Section 5.5.

If you are registering as a Physician, you represent that you hold a valid medical licence in your province or territory of practice in Canada.

If you are registering on behalf of a CRO, you represent that you have the authority to bind the organization to these Terms.


4. User Accounts

4.1 Registration

You must create an account to access the Platform’s services. During registration, you agree to provide truthful, accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and updating it promptly if it changes.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities conducted under your account. You must:

(a) Create a strong password meeting our minimum requirements (at least 8 characters including uppercase, lowercase, and numeric characters);

(b) Not share your account credentials with any other person;

(c) Notify us immediately at support@horizonnt.ca if you become aware of any unauthorized use of your account or any other breach of security;

(d) Enable and maintain multi-factor authentication (MFA) if your account role requires it. MFA is available for all users and is mandatory for CRO User, CRO Admin, and Platform Admin accounts. Failure to enable required MFA may result in restricted access to the Platform.

We are not liable for any loss or damage arising from your failure to protect your account credentials or to enable required security features.

4.3 Account Types and Roles

The Platform supports the following user roles, each with distinct permissions and responsibilities:

  • Patient — Individuals seeking clinical trial matches based on their health profile.

  • Caregiver — Individuals acting on behalf of a patient with proper authorization.

  • Physician — Licensed medical professionals accessing trial search and patient referral tools.

  • CRO User — Employees of a CRO with access to candidate matching and contact tools.

  • CRO Admin — CRO employees with additional administrative privileges for their organization.

  • Platform Admin — Horizon staff managing the Platform (internal use only).

4.4 Verification

Physicians and CROs are subject to credential and identity verification before full access is granted. Horizon reserves the right to verify credentials, request additional documentation, and approve or reject applications at its discretion. Verification is typically completed within 24 to 48 hours.

4.5 Account Suspension and Termination

Horizon may suspend, restrict, or terminate your account at any time if:

(a) You violate these Terms;

(b) We reasonably believe your account has been compromised;

(c) Your conduct poses a risk to other users or the integrity of the Platform;

(d) You provide false, misleading, or incomplete information;

(e) Required by law or regulatory authority.

We will make reasonable efforts to notify you prior to or at the time of suspension or termination, except where prohibited by law or where immediate action is required to protect the Platform or other users.


5. Patient and Caregiver Terms

5.1 Health Profile

Patients and Caregivers may create a health profile by completing a structured health questionnaire. This profile is used solely for the purpose of matching you with relevant clinical trials. You are responsible for the accuracy of the information you provide.

5.2 Clinical Trial Matching

The Platform uses an algorithmic matching system to compare your health profile against clinical trial eligibility criteria. Match results are provided as a ranked list with relevance scores expressed as a percentage (0-100%). Matching considers factors including condition alignment, eligibility criteria, geographic proximity, and treatment history.

Matching results are informational only. A high match score does not guarantee eligibility for, acceptance into, or suitability for any clinical trial. You should always consult with your physician before making decisions about clinical trial participation.

5.3 Expression of Interest and Contact Requests

You may express interest in a matched trial or respond to contact requests from CROs. Before any personally identifiable information is shared with a CRO, the Platform will:

(a) Present you with a clear explanation of what information will be shared;

(b) Require your explicit, informed consent;

(c) Allow you to accept or decline each contact request individually.

You may withdraw your consent or decline contact requests at any time. Declining a request will not affect your access to the Platform or future matching.

5.4 No Medical Advice

The Platform does not provide medical advice, diagnosis, or treatment. Clinical trial match results should not be interpreted as a recommendation for any particular treatment. Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition or clinical trial participation.

5.5 Caregiver Authorization

If you register as a Caregiver, the following additional terms apply:

(a) Proof of Authority: You must have valid legal authority to act on behalf of the patient. Horizon may require you to provide documentation evidencing your authority, including but not limited to a power of attorney, guardianship order, court order, or a signed authorization form from the patient. Horizon reserves the right to suspend Caregiver access if satisfactory documentation is not provided upon request.

(b) Scope of Authority: You may only take actions on the Platform that are within the scope of your authority. This includes creating and managing the patient’s health profile, reviewing matched trials, and responding to contact requests on their behalf.

(c) Patient’s Continuing Rights: The patient retains all rights under these Terms and our Privacy Policy, including the right to access their account, correct their information, withdraw consent, and delete their account, regardless of Caregiver involvement. If a conflict arises between a Caregiver’s actions and the patient’s expressed wishes, the patient’s instructions will prevail.

(d) Revocation of Authority: If your authorization to act on behalf of the patient is revoked, expires, or is otherwise terminated, you must notify Horizon immediately at support@horizonnt.ca. Upon such notification, Horizon will suspend your Caregiver access to the patient’s profile. Continued use of the Platform on behalf of a patient after your authority has been revoked constitutes a violation of these Terms.

(e) Liability: You are personally responsible for any actions taken on the Platform on behalf of the patient, including the accuracy of information provided and any consent decisions made.


6. Physician Terms

6.1 Professional Responsibilities

Physicians using the Platform represent and warrant that they hold a valid, unrestricted medical licence in their province or territory of practice. You agree to:

(a) Provide accurate professional credentials during registration;

(b) Notify us promptly if your licence status changes;

(c) Use the Platform in compliance with applicable professional standards, codes of ethics, and regulations governing your practice.

6.2 Subscription Services

Physicians access advanced features through a paid subscription at $500 CAD per month. Subscription terms:

(a) Billing: Subscriptions are billed monthly on a recurring basis to the credit card on file via our payment processor, Stripe.

(b) Renewal: Subscriptions renew automatically each month unless cancelled.

(c) Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription remains active until the end of the current billing period. No prorated refunds are provided for partial months.

(d) Payment Failures: If a payment fails, we will notify you and may suspend access to subscription features until payment is resolved.

(e) Price Changes: We reserve the right to change subscription pricing with at least 30 days’ prior written notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.

6.3 Patient Referrals

Physicians may use the Platform to refer patients to specific clinical trials. When making a referral, you acknowledge that you have exercised independent clinical judgment and that the referral is appropriate based on your professional assessment of the patient’s condition.

6.4 Trial Information Sharing

Physicians may share clinical trial information with patients via the Platform’s email sharing feature. When you use this feature:

(a) The email is sent by Horizon on your behalf and will identify both you and Horizon as the senders;

(b) You represent that you have an existing professional relationship with the recipient and that the communication is relevant to their care;

(c) You are responsible for ensuring that the sharing is consistent with applicable professional standards and the Personal Health Information Protection Act (PHIPA) where applicable;

(d) Horizon bears responsibility for compliance with Canada’s Anti-Spam Legislation (CASL) with respect to the technical delivery of the message, including sender identification and unsubscribe mechanisms.

7. CRO Terms

7.1 Organization Accounts

CRO organization accounts are created by Horizon administrators following a verification and approval process. Once approved, CROs may create multiple user accounts within their organization, subject to role-based access controls. The organization is responsible for the actions of all users associated with its account.

7.2 Trial Listings

CROs may create and manage clinical trial listings on the Platform. You represent and warrant that:

(a) All trial information is accurate, current, and complete;

(b) Listed trials have received appropriate regulatory approvals and ethics board clearance;

(c) You will promptly update trial listings when information changes, including changes to recruitment status;

(d) You will remove or update listings for trials that are no longer recruiting or have been terminated.

Horizon reserves the right to review, modify, or remove trial listings that violate these Terms or applicable law.

7.3 Candidate Matching and Anonymized Data

CROs receive access to anonymized candidate profiles matched to their trials. Anonymized data includes match score, age range, biological sex, general location, treatment history summary, and eligibility indicators. This anonymized data:

(a) Must be used solely for the purpose of evaluating potential trial candidates;

(b) Must not be shared with third parties not authorized under these Terms;

(c) Must not be used to attempt to re-identify patients without going through the Platform’s contact request process.

7.4 Contact Requests and Fees

To access a patient’s contact information, CROs must:

(a) Initiate a contact request through the Platform;

(b) Wait for the patient to accept the contact request;

(c) Pay a contact request fee of $1,500 CAD per match upon the patient’s acceptance.

The fee is charged only after the patient consents to share their contact information. Payment is processed via Stripe. Contact information released includes the patient’s full name, email address, and phone number (if provided).

7.5 Payment Terms

(a) Contact Request Fees: $1,500 CAD per accepted contact request, charged to the credit card on file at the time of patient acceptance.

(b) Receipts: Receipts are provided for all transactions and accessible through your billing dashboard.

(c) No Refunds: Contact request fees are non-refundable once the patient has accepted and contact information has been released, except where required by applicable law.

(d) Invalid Contact Information: If contact information released to a CRO is materially inaccurate or non-functional (e.g., invalid email address or disconnected phone number) due to the patient having provided incorrect information, the CRO may submit a dispute within 14 days of the contact information release. Horizon will investigate the claim and, at its sole discretion, may issue a credit toward a future contact request or a refund. Horizon is not responsible for patients who become unresponsive after contact information is released.

(e) Payment Records: Payment records are retained for a minimum of 7 years in accordance with Canada Revenue Agency requirements.

(f) Disputed Charges: Billing disputes must be raised within 30 days of the transaction date by contacting support@horizonnt.ca.

7.6 Use of Patient Information

Patient contact information obtained through the Platform must be used solely for the purpose of discussing the relevant clinical trial. CROs agree to:

(a) Contact patients only regarding the specific trial for which contact was requested;

(b) Handle all patient information in compliance with PIPEDA and applicable provincial privacy legislation;

(c) Not sell, rent, or share patient information with third parties;

(d) Not use patient information for marketing purposes unrelated to the specific trial;

(e) Securely store and dispose of patient information in accordance with applicable law.


8. Fees, Payments, and Taxes

8.1 General

All fees are stated in Canadian Dollars (CAD) unless otherwise indicated. Horizon uses Stripe as its payment processor. By providing payment information, you agree to Stripe’s terms of service.

8.2 Applicable Taxes

All fees are exclusive of applicable taxes. You are responsible for any applicable sales taxes (including HST/GST), duties, or other governmental levies associated with your use of the Services, unless we are legally obligated to collect such taxes. Where Horizon is required to collect HST/GST, the applicable tax amount will be displayed at the time of purchase and on all receipts, together with Horizon’s GST/HST registration number.

8.3 Changes to Fees

Horizon reserves the right to modify its fee structure. Changes to recurring fees will be communicated at least 30 days before taking effect. Changes to one-time fees (such as contact request fees) will be communicated at least 14 days before taking effect. Your continued use of the Services after fee changes take effect constitutes acceptance.


9. Acceptable Use

You agree not to use the Platform to:

(a) Violate any applicable federal, provincial, or local law or regulation;

(b) Provide false, misleading, or fraudulent information;

(c) Impersonate another person or entity;

(d) Attempt to gain unauthorized access to the Platform, other user accounts, or any computer systems or networks connected to the Platform;

(e) Interfere with or disrupt the integrity or performance of the Platform;

(f) Upload or transmit any malicious code, viruses, or harmful content;

(g) Scrape, harvest, or collect information about other users without authorization;

(h) Use automated tools, bots, or scripts to access the Platform without prior written consent;

(i) Attempt to re-identify anonymized patient data through any means other than the Platform’s authorized contact request process;

(j) Use patient information obtained through the Platform for any purpose other than the specific clinical trial contact;

(k) Send unsolicited commercial communications through the Platform in violation of Canada’s Anti-Spam Legislation (CASL);

(l) Engage in any activity that could harm minors or vulnerable persons.


10. Intellectual Property

10.1 Horizon’s Intellectual Property

The Platform, including its design, software, algorithms, text, graphics, logos, icons, and other content, is the property of Horizon or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

10.2 User Content

You retain ownership of the content you submit to the Platform, including health profile information, trial listings, and messages. By submitting content, you grant Horizon a non-exclusive, royalty-free, worldwide licence to use, store, process, and display your content solely for the purpose of providing and improving the Services. This licence terminates when you delete your content or account, except as required for legal compliance or as set out in our Privacy Policy.

10.3 Clinical Trial Data

Clinical trial data sourced from ClinicalTrials.gov is used in accordance with the U.S. National Library of Medicine’s terms of use. Trial data submitted by CROs remains the property of the respective CRO.

11. Third-Party Services and Links

The Platform integrates with or may link to third-party services, including:

  • Stripe for payment processing;

  • ClinicalTrials.gov for trial data;

  • Health Canada Clinical Trials Database (CTDB) for Canadian trial data;

  • Auth0/AWS Cognito for authentication and identity management;

  • Google Maps Platform for geographic distance calculations;

  • Email service providers (SendGrid/AWS SES) for transactional notifications.

Horizon is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies. We encourage you to review the terms and privacy policies of any third-party services you access through the Platform.


12. Disclaimers

12.1 No Medical Advice

THE PLATFORM IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. MATCH RESULTS ARE GENERATED ALGORITHMICALLY AND ARE INFORMATIONAL ONLY. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROFESSIONAL BEFORE MAKING ANY DECISIONS REGARDING CLINICAL TRIAL PARTICIPATION.

12.2 No Guarantee of Results

HORIZON DOES NOT GUARANTEE THAT:

(a) THE MATCHING ALGORITHM WILL IDENTIFY ALL RELEVANT TRIALS FOR A PATIENT;

(b) A PATIENT WILL BE ELIGIBLE FOR OR ACCEPTED INTO ANY MATCHED TRIAL;

(c) ANY CRO WILL RECEIVE A SPECIFIC NUMBER OF CANDIDATE MATCHES;

(d) THE PLATFORM WILL BE AVAILABLE WITHOUT INTERRUPTION, ERROR-FREE, OR SECURE AT ALL TIMES.

12.3 Limitation of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW:

(a) HORIZON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

(b) HORIZON’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES YOU HAVE PAID TO HORIZON IN THE 12 MONTHS PRECEDING THE CLAIM, OR (II) $500 CAD.

(c) NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.


14. Indemnification

You agree to indemnify, defend, and hold harmless Horizon, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) Your use of the Platform;

(b) Your violation of these Terms;

(c) Your violation of any applicable law or regulation;

(d) Any content you submit to the Platform;

(e) Your infringement of any third-party rights.


15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@horizonnt.ca to attempt to resolve any dispute informally. We will endeavour to resolve disputes within 30 days of receiving your written notice.

15.3 Jurisdiction

If a dispute cannot be resolved informally, the courts of the Province of Ontario, sitting in the City of Toronto, shall have exclusive jurisdiction over any proceedings arising from or related to these Terms, subject to any applicable statutory rights.

15.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.


16. Modifications to Terms

Horizon may modify these Terms from time to time. We will provide notice of material changes by:

(a) Posting the updated Terms on the Platform with a revised “Last Updated” date;

(b) Sending email notification to registered users for material changes.

Changes take effect 30 days after posting for existing users. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.


17. Account Deletion and Termination

17.1 By You

You may delete your account at any time through your account settings or by contacting support@horizonnt.ca. Upon account deletion:

(a) Your access to the Platform will be terminated;

(b) Your personal data will be deleted in accordance with our Privacy Policy and applicable law;

(c) Active subscriptions will be cancelled (no prorated refunds);

(d) Certain data may be retained as required by law (e.g., payment records for 7 years, audit logs for 3 years).

17.2 By Horizon

Horizon may terminate your account as described in Section 4.5. Upon termination, the provisions of these Terms that by their nature should survive (including but not limited to Sections 10, 12, 13, 14, and 15) will continue in effect.


18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Horizon regarding your use of the Platform.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

18.3 Waiver

The failure of Horizon to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Horizon’s prior written consent. Horizon may assign its rights and obligations without restriction.

18.5 Force Majeure

Horizon shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, or cyberattacks.

18.6 Language

These Terms are drafted in English. If a translation is provided, the English version shall prevail in the event of any inconsistency. If you are a resident of Quebec, you may be entitled to receive these Terms in French pursuant to Quebec’s Charter of the French Language. 18.7 Accessibility

Horizon is committed to providing an accessible platform in compliance with the Accessibility for Ontarians with Disabilities Act (AODA) and WCAG 2.1 AA standards. If you experience accessibility issues, please contact us at support@horizonnt.ca. These Terms and all related legal documents are available in alternative accessible formats upon request.
